1. Acceptance of Terms

By accessing or using ProfitRinger ("Service"), including our web application and browser extension, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

ProfitRinger is a lead routing and instant sales representative connection system that:

  • Connects website visitors with available sales representatives in real-time
  • Provides browser extension for sales reps to manage availability
  • Routes leads based on rep availability and routing rules
  • Facilitates instant video/voice connections between prospects and reps

3. Eligibility

You must be at least 18 years old and have the authority to enter into these Terms. By using the Service, you represent and warrant that you meet these requirements.

4. Account Registration

4.1 Account Creation

  • You must provide accurate and complete information
  • You are responsible for maintaining the security of your account
  • You must notify us immediately of any unauthorized access
  • One person or entity may not maintain more than one free account

4.2 Account Security

  • Keep your password secure and confidential
  • You are responsible for all activities under your account
  • We are not liable for losses caused by unauthorized use

5. Browser Extension

5.1 Extension Functionality

The ProfitRinger browser extension provides sales reps with:

  • Ringer availability toggle
  • Real-time lead notifications
  • Audio and visual alerts
  • Quick access to accept/decline leads

5.2 Extension Permissions

The extension requires certain browser permissions to function. By installing the extension, you grant these permissions as disclosed in our Privacy Policy.

5.3 Data Storage

The extension stores minimal data locally (authentication tokens, preferences) as detailed in our Privacy Policy. Data is encrypted and cleared upon sign out or uninstall.

6. Subscription and Billing

6.1 Plans and Pricing

  • Free Plan: Limited features and session count
  • Paid Plans: Additional features, teams, and unlimited sessions
  • Pricing is available on our website and may change with notice

6.2 Payment

  • Billing is processed through Polar, our payment provider
  • Subscriptions renew automatically unless canceled
  • Refunds are handled on a case-by-case basis

6.3 Cancellation

  • You may cancel your subscription at any time
  • Access continues until the end of your billing period
  • No refunds for partial months

7. Acceptable Use

7.1 You Agree NOT To:

  • Use the Service for any illegal or unauthorized purpose
  • Transmit spam, malware, or harmful code
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Scrape or harvest data from the Service
  • Reverse engineer or decompile the Service
  • Resell or redistribute the Service without permission
  • Impersonate others or provide false information

7.2 Content Guidelines

  • You are responsible for content you create (ring group names, descriptions, etc.)
  • Content must not be offensive, illegal, or infringe on others' rights
  • We reserve the right to remove content that violates these Terms

8. Third-Party Integrations

8.1 OAuth Integrations

When you connect third-party services (HighLevel, HubSpot, etc.):

  • You grant us permission to access data as specified during authorization
  • Third-party terms and privacy policies also apply
  • You can revoke access at any time

8.2 Google Calendar (Coming Soon)

When we add Google Calendar integration:

  • We will request read access to check your availability
  • We will NOT read, modify, or delete calendar events without explicit permission
  • Calendar data will be used only to determine availability for lead routing
  • You can revoke calendar access at any time
  • This integration will be optional - not required to use ProfitRinger

8.3 Meeting Platforms

When leads connect, they may be routed to:

  • Zoom, Google Meet, or other video platforms you configure
  • Those platforms' terms and privacy policies apply
  • We do not control or access those platforms' data

9. Intellectual Property

  • ProfitRinger and all related trademarks are our property
  • The Service, including software and design, is protected by copyright
  • You receive a limited license to use the Service, not ownership
  • You may not copy, modify, or create derivative works

10. Data Ownership

  • You retain ownership of your customer data (leads, contacts)
  • You grant us license to process this data to provide the Service
  • You can export your data at any time
  • Upon account deletion, your data is removed within 30 days

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:

  • The Service will be uninterrupted or error-free
  • Defects will be corrected
  • The Service is free of viruses or harmful components
  • Results from using the Service will meet your requirements

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages exceeding the amount you paid in the last 12 months

13. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

14. Termination

14.1 By You

  • You may cancel your account at any time
  • Export your data before cancellation

14.2 By Us

We may suspend or terminate your account if you:

  • Violate these Terms
  • Fail to pay fees
  • Engage in fraudulent activity
  • Abuse or misuse the Service

15. Modifications to Service

  • We may modify or discontinue features with or without notice
  • We are not liable for any modification or discontinuation
  • Material changes will be communicated via email

16. Modifications to Terms

  • We may revise these Terms from time to time
  • Continued use after changes constitutes acceptance
  • Material changes will be notified via email or dashboard notice

17. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to conflict of law provisions.

18. Dispute Resolution

  • Disputes will be resolved through binding arbitration
  • You waive the right to participate in class actions
  • Arbitration will be conducted by JAMS under its rules

20. Entire Agreement
